Soluna Holdings, Inc. scheduled a virtual annual stockholder meeting for October 16, 2026. The board proposes increasing authorized common stock shares from 375 million to 1 billion.

Shareholders will also vote on a Standby Equity Purchase Agreement (SEPA) with YA II PN, Ltd. This proposal allows the potential issuance of 20% or more of current outstanding common stock to comply with Nasdaq listing rules.

The company reported a net loss of nearly $57 million in 2025. Soluna recorded over 244.5 million common shares outstanding as of August 10, 2026.

Additional ballot items include the election of three directors. Shareholders will also provide an advisory vote on executive compensation.
