A Michigan-based pension fund filed a class-action lawsuit against Microsoft in a Seattle federal court. The suit accuses the company of fraud for allegedly concealing slowing growth in its Azure cloud business. Shareholders also claim Microsoft understated the massive costs associated with its artificial intelligence infrastructure.
The complaint alleges Microsoft misled investors by overhyping the immediate profitability of AI products like Copilot. It claims surging capital expenditures for AI development diverted resources from the profitable Azure segment. The lawsuit names CEO Satya Nadella and CFO Amy Hood as defendants.
The legal action covers investors who purchased Microsoft stock between May 1, 2025, and January 28, 2026. A quarterly report at the end of this period revealed a 66% year-over-year jump in capital spending. Azure growth slowed during the same timeframe, causing a significant drop in stock price.
