Triller Group Inc. will hold a special shareholder meeting on October 30, 2026. Shareholders will vote on a proposal to issue more than 85.9 million common shares to convert approximately $84.7 million in debt and preferred shares.

The proposal is part of the company’s plan to regain compliance with Nasdaq’s minimum market value requirements. Triller received a deficiency notice in August 2026.

If approved, entities controlled by Mr. Tsai Ming Hsing, Richard, would increase their ownership stake from about 18.8% to 83.7%. The change would significantly dilute other shareholders’ voting power.

The meeting comes amid legal challenges. Multiple law firms have announced class-action lawsuits alleging that Triller made misleading statements about its business and compliance issues.
