Fox Chief Legal Officer to Step Down; Appoints Nicholas Trutanich as General Counsel

Fox Corporation announced that Adam Ciongoli will step down as Chief Legal and Policy Officer, effective December 1, 2026. He will transition to an 18-month advisory role with the company. Nicholas Trutanich, currently EVP and Deputy General Counsel, will be appointed General Counsel, also effective December 1, 2026.

• Executive Departure: Adam Ciongoli will receive a separation payment (one year's salary plus target bonus) and a cash payment of $12,595,784 for his outstanding equity awards. In his new advisory role, he will earn an annual consulting fee of $1,750,000.
• Executive Appointment: Nicholas Trutanich's new employment agreement as General Counsel includes an annual base salary of $1,400,000, a target bonus of $1,400,000, and an annual long-term incentive award target of $2,200,000.
• Transition Timeline: Both the departure of Mr. Ciongoli from his current role and the appointment of Mr. Trutanich are effective December 1, 2026. Mr. Ciongoli's advisory agreement will commence on the same date and last for 18 months.
