AIM ImmunoTech (NYSE: AIM) shareholders approved all board proposals at a Special Meeting on July 15, 2026.

The board is now authorized to enact a reverse stock split at a ratio of up to 1-for-25. This measure aims to increase the per-share trading price to maintain compliance with NYSE American listing requirements.

Stockholders also approved the potential issuance of shares exceeding 19.99% of outstanding common stock. These shares relate to the exercise of various warrants and the conversion of promissory notes.

The authorization provides flexibility to raise capital for operations and clinical trials. However, the move creates the potential for significant dilution for existing shareholders.
