Bharti Airtel shareholders approved a plan to consolidate the company's stake in Airtel Africa Plc on June 15, 2026. The nearly unanimous vote clears the way for a cashless share-swap transaction.

Bharti Airtel will issue equity shares to the promoter group entity Indian Continent Investment. The company will receive a 16.31% stake in Airtel Africa through the exchange.

This move increases Bharti Airtel's effective holding in the African subsidiary to approximately 79%. The deal strengthens the company's position in high-growth markets to enhance long-term shareholder value.

The transaction simplifies the group’s shareholding structure without cash outflow or additional leverage.
